These Terms and Conditions ("Terms") govern your use of orbitstudio.us (the "Site"), operated by Orbit Digital LLC, doing business as Orbit Studio ("Orbit Studio," "we," "us," or "our"). Please read them carefully. By using the Site, you agree to these Terms.

1. Agreement to these terms

By accessing or using the Site, you confirm that you can form a binding contract with us and that you agree to these Terms and to our Privacy Policy. If you do not agree, please do not use the Site.

2. Who we are

Orbit Studio is the studio brand of Orbit Digital LLC, a limited liability company registered in the State of Kansas, United States. We design and build custom internal software (Orbit Systems) and premium, conversion-focused websites (Orbit Sites) for businesses.

3. The Site and our services

This Site is an informational and marketing website. It describes our services, shows examples of our work, and lets you get in touch. The content here, including service descriptions and any figures, is provided for general information and may change at any time without notice.

Nothing on this Site is an offer, quote, or contract for services. Any project we take on is governed by a separate written agreement (such as a proposal, statement of work, or master services agreement) signed by both parties. If anything in that agreement conflicts with these Terms, the signed agreement controls for that engagement.

4. Inquiries and the contact form

When you submit the contact form or email us, you are starting a conversation, not a client relationship. Sending an inquiry does not obligate either of us to enter into an engagement. We aim to respond promptly but do not guarantee a response or any particular timeframe. Please do not send confidential or sensitive information through the contact form; we are happy to put a confidentiality agreement in place before you share anything sensitive.

5. Intellectual property

The Site and its contents, including the design, layout, text, graphics, the Orbit Studio and Orbit Digital names, logos, and related marks, are owned by Orbit Digital LLC or its licensors and are protected by intellectual property laws. You may view and share the Site for personal, non-commercial purposes, but you may not copy, reproduce, modify, distribute, or create derivative works from it without our prior written permission.

Client projects shown on the Site are displayed with permission and remain the property of their respective owners. Their inclusion here does not transfer any rights to you.

6. Acceptable use

You agree not to:

• use the Site for any unlawful purpose or in violation of these Terms;
• attempt to gain unauthorized access to the Site, its servers, or related systems;
• interfere with or disrupt the Site, including by introducing malware or overloading it;
• scrape, harvest, or collect information from the Site by automated means without our permission; or
• use the Site to infringe the rights of others or to send spam or unsolicited messages.

7. Third-party links and client work

The Site links to client project showcases and other third-party websites that we do not operate or control. We provide these links for convenience only. We are not responsible for the content, products, or practices of any third-party site, and your use of those sites is at your own risk and subject to their own terms.

8. Disclaimers

The Site is provided on an "as is" and "as available" basis. To the fullest extent permitted by law, we disclaim all warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, and non-infringement. 9. Limitation of liability

To the fullest extent permitted by law, Orbit Digital LLC and its members, employees, and contractors will not be liable for any indirect, incidental, special, consequential, or punitive damages, or for any loss of profits, data, or goodwill, arising out of or related to your use of (or inability to use) the Site. Our total liability for any claim relating to the Site will not exceed one hundred U.S. dollars (USD $100). Some jurisdictions do not allow certain limitations, so some of these may not apply to you.

10. Indemnification

You agree to indemnify and hold harmless Orbit Digital LLC and its members, employees, and contractors from any claims, damages, losses, liabilities, and expenses (including reasonable legal fees) arising out of your use of the Site or your violation of these Terms.

11. Governing law

These Terms are governed by and construed in accordance with the laws of the State of Kansas, United States, without regard to its conflict-of-laws rules. You agree that any dispute relating to these Terms or the Site will be subject to the exclusive jurisdiction of the state and federal courts located in Kansas.

12. Changes to these terms

We may update these Terms from time to time. When we do, we will revise the "Last updated" date at the top of this page. Changes take effect when posted, and your continued use of the Site after that means you accept the updated Terms.
